Country-Specific Terms: Saudi Arabia


These country-specific terms for Saudi Arabia (hereinafter referred to as the “Saudi Terms”) supplements the Master Subscription Agreement entered into between a Pagero Group entity and Customer.

 

Additional Terms

1. Application

1.1. These Saudi Terms apply where the Customer is utilizing Services within the Kingdom of Saudi Arabia, and/or the data processed within the Services on behalf of the Customer is subject to the laws of Saudi Arabia.

2. Use of the Services

2.1. The Customer warrants that it has obtained a permit from all relevant regulatory authorities, in favour of Pagero, in respect of the processing of Customer Data by Pagero in the manner contemplated in this Agreement and will provide Pagero with a copy of each such permit if requested by Pagero.

3. Processing of Personal Data

3.1. The Customer warrants that it has, when applicable; (i) obtained consent from all relevant individuals in its control, in favour of Pagero, in respect of the processing of Personal Data by Pagero in the manner contemplated in this Agreement and (ii) obtained consent from the relevant regulatory authority in favour of Pagero, in respect of the processing of Personal Data by Pagero in the manner contemplated in this Agreement; and will provide Pagero with a copy of each such consent if requested by Pagero.

4. Certificates

4.1. Where applicable, the Customer shall provide Pagero or its sub-processor(s) with duly issued and valid digital certificates to be applied in the process of issuing or otherwise processing e-Documents.

4.2. Where such Customer-specific digital certificate(s) is required, but it has not been provided to Pagero or its Sub-processor(s) or the certificate(s) has expired, Pagero may not be able to provide the contracted Services.

4.3. Customer shall be solely responsible for the validity and correctness of any such certificate(s).
